1. Definitions

1.1. “Company” / “We” / “Our” means Irish Fairways Golf Tours.
1.2. “Participant” / “You” means the PGA or golf industry professional who applies to the Incentive Program.
1.3. “Referred Group” means a group of golfers or clients who book a tour through Irish Fairways via your referral.
1.4. “Incentive” means the commission or reward payable to you for the bookings made by the Referred Group, as described below.
1.5. “Program” means the Irish Fairways Incentive Program, as described on our website.

2. Eligibility

2.1. The Program is open only to PGA professionals or golf industry professionals, as determined by the Company in its sole discretion.
2.2. You must complete any onboarding or registration requirements and provide accurate information.
2.3. We reserve the right to refuse or terminate your participation if you violate these T&Cs or engage in unethical or fraudulent behavior.

3. How It Works

3.1. You refer potential groups or golfers to Irish Fairways by providing their contact information or otherwise facilitating the connection.
3.2. The Referred Group must book a tour through Irish Fairways, under standard booking conditions, for you to be eligible for an Incentive.
3.3. You may choose to travel with the group as their host, or let them travel independently; either is acceptable for receiving the Incentive.
3.4. The Incentive will be calculated as a percentage of the total trip cost for each Referred Group member (excluding taxes, fees, surcharges, or any non-commissionable elements) according to a schedule or rate agreed upon between you and the Company.
3.5. Larger groups may attract higher incentive rates; any tiered structure will be communicated by the Company in writing.

4. Payment Terms

4.1. Incentives become payable only after:
 a) the Referred Group has made full payment for their tour; and
 b) the tour has commenced (or an alternate milestone, if agreed in writing).
4.2. Payments will be made in the currency specified by the Company (e.g. EUR or USD), after conversion if needed.
4.3. Payment will be made by bank transfer, check, or such other method as the Company designates. You must provide valid banking or payment details.
4.4. The Company may withhold payment if there is a dispute, suspected fraud, cancellation, or if these T&Cs are being investigated.
4.5. You are responsible for any taxes, duties, or other governmental charges arising from the Incentive.

5. Cancellations, Refunds & Adjustments

5.1. If the Referred Group cancels all or part of their tour, or requests refunds, the Company’s standard cancellation / refund policy applies.
5.2. If refunds or reductions are issued to the Referred Group after an Incentive has been paid, you agree to repay or adjust the Incentive accordingly.
5.3. The Company may deduct any overpaid amounts (due to errors, cancellations, etc.) from future payments.

6. Obligations & Conduct

6.1. You agree to promote the tours ethically and in accordance with applicable laws, regulations, and fair practices.
6.2. You must not misrepresent the nature, pricing, or quality of the tours.
6.3. You shall not solicit or target individuals already in negotiation with or under contract with Irish Fairways unless expressly permitted in writing.
6.4. Confidential information (e.g. commission schedules, marketing materials, trade secrets) must not be disclosed to third parties.

7. Term & Termination

7.1. This agreement begins when you are accepted into the Program and remains in force until terminated by either party.
7.2. You may withdraw from the Program at any time via written notice.
7.3. The Company may immediately terminate your participation (or suspend payments) if you breach these T&Cs or engage in gross misconduct, fraud, or unethical behavior.
7.4. Termination does not relieve you of obligations to repay overpayments, or liabilities incurred before termination.

8. Limitation of Liability & Indemnity

8.1. To the fullest extent permitted by law, the Company’s liability to you for any claim arising under or relating to the Program is limited to the total Incentives payable under this agreement in the preceding twelve (12) months.
8.2. The Company is not liable for indirect, incidental, consequential, or punitive damages (lost profits, loss of opportunity, etc.).
8.3. You agree to indemnify, defend, and hold harmless the Company (and its officers, employees, agents) from any third-party claims, losses, damages, liabilities, or costs (including legal fees) arising from your breach of these T&Cs or your negligence or misconduct.

9. Intellectual Property & Marketing Materials

9.1. The Company grants you a limited, nonexclusive, revocable license to use certain branding, logos, marketing materials, images, and copy (the “Materials”) solely for promoting Irish Fairways tours in connection with this Program, in accordance with any brand guidelines supplied by the Company.
9.2. You may not modify the Materials without prior written consent.
9.3. All rights, title, and interest in the Materials remain with the Company.

10. Privacy & Data Protection

10.1. You must comply with applicable data protection laws (e.g. GDPR) in handling any personal data of Referred Group members.
10.2. You will only provide personal data to the Company in a lawful manner and with appropriate consent.
10.3. The Company’s Privacy Policy governs how any data you send is processed.
10.4. You will implement appropriate security measures to protect personal data from unauthorized access, disclosure, or loss.

11. Amendments

11.1. The Company reserves the right to amend, suspend, or terminate the Program (or change incentive rates, structure, or policies) at any time by giving notice (e.g. via email or website update).
11.2. Any changes will not affect Incentives already earned for Referred Groups whose tours have already commenced (unless there is a compelling legal, regulatory, or operational reason).

12. Miscellaneous

12.1. Relationship. Nothing in these T&Cs constitutes a partnership, joint venture, or employment relationship.
12.2. Assignment. You may not assign your rights or obligations under these T&Cs without the Company’s prior written consent.
12.3. Severability. If a provision is found invalid or unenforceable, it will be severed, and the remainder will stay effective.
12.4. Waiver. A failure by either party to enforce any right does not constitute a waiver of that right.
12.5. Notices. All notices under these T&Cs must be given in writing (e.g. email or postal) to the addresses provided by the parties.
12.6. Entire Agreement. These T&Cs (together with any accepted registration, email communications, or schedule of incentive rates) constitute the entire agreement between the parties regarding the Program, superseding any prior discussions or agreements.
12.7. Governing Law & Jurisdiction. These T&Cs are governed by the laws of (specify: e.g. Ireland). The parties submit to the exclusive (or non-exclusive) jurisdiction of the courts in (specify: e.g. Dublin, Ireland).
